1. Acceptance of Terms

By downloading, installing, or using the Poker Broker mobile application (the "App") or visiting this website, you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the App or this website.

These Terms form a binding agreement between you and Poker Broker ("we," "us," "our").

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract in your jurisdiction to use Poker Broker. By using the App, you represent that you meet these requirements.

You are responsible for determining whether your use of the App complies with the laws of your jurisdiction, including any laws concerning gambling, social gaming, or money handling. The App is intended for use in jurisdictions where social home poker among friends is lawful. We do not authorize use of the App in connection with any illegal activity.

3. What Poker Broker Is — and Isn't

Poker Broker is a tracking and settlement tool. It helps you and your friends record who bought in, who cashed out, and who owes what after a home poker game.

Poker Broker is non-custodial. We do not hold, transfer, transmit, or process any money. All payments between players happen through independent third-party payment apps (such as Venmo, Zelle, or Cash App), outside of our App. We are not a money transmitter, money services business, payment processor, escrow agent, or financial institution.

Poker Broker is not a gambling service. We do not operate poker games, facilitate wagers, deal cards, determine outcomes, or take a rake. We are a record-keeping tool for games that users play among themselves, on their own equipment, in their own homes.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@pokerbroker.app if you suspect unauthorized access.

5. User Conduct

You agree not to:

• Misrepresent buy-ins, cashouts, or any other game data;
• Impersonate another person or provide false account information;
• Use the App to facilitate illegal activity of any kind;
• Harass, abuse, threaten, or defraud other users;
• Attempt to access other users' accounts, data, or devices;
• Reverse engineer, decompile, or attempt to extract the source code of the App;
• Use the App to scrape data, send spam, or distribute malware;
• Circumvent any security, authentication, or usage-limiting feature.

6. User Responsibility for Game Data

You are solely responsible for the accuracy of data you enter into the App. Poker Broker computes settlements based on the data users enter. We are not responsible for disputes between players arising from incorrect entries, fraudulent reporting, or disagreements about what occurred at a table. The witness-confirmation feature is a tool, not a guarantee.

7. Payments Between Players

Any money transferred between players happens entirely through third-party payment services. Your relationship with those services is governed by their terms, not ours. We have no control over, and no liability for, payments that are delayed, disputed, reversed, or never sent.

8. Intellectual Property

The App, including its code, design, logos, trademarks, and content we provide, is owned by us and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

Game data you enter is yours. By entering it, you grant us a limited license to process, store, display, and use it for the purpose of operating the App and providing features to you and other participants in the same games.

9. Subscriptions and Fees

Some features of the App may be offered on a paid-subscription basis ("Pro"). Subscription terms, pricing, and billing are disclosed at the time of purchase and managed through the Apple App Store or Google Play Store. Cancellation and refund policies are governed by the respective app store.

10. Disclaimers

The App is provided "as is" and "as available," without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the App will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, in no event shall Poker Broker, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of goodwill, arising out of or related to your use of the App.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the App shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

12. Indemnification

You agree to defend, indemnify, and hold harmless Poker Broker, its affiliates, and their respective officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of (a) your use of the App, (b) your violation of these Terms, (c) your violation of any third-party right, or (d) your conduct in any game tracked with the App.

13. Termination

We may suspend or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the App. You may stop using the App and delete your account at any time. Provisions that by their nature should survive termination (including Sections 8, 10, 11, 12, 14, and 15) will survive.

14. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the App or by email before the changes take effect. Your continued use of the App after the changes take effect constitutes your acceptance of the revised Terms.
